ENTOMOLOGICAL SOCIETY ARTICLE Is NAME Section 1: This organization shall be known as the Wisconsin Entomological Society, ARTICLE II: PURPOSE Section Is It shall be the purpose of this society to promote the study of entomology in all its branches, especially as it applies to Wisconsin and the surrounding states; to facilitate and encourage the exchange of specimens and ideas by both professional and amateur entomologists, to publish periodi- cals and other occasional papers on entomology and related fields; to promote conservation in the field of Entomology, and to do that which shall promote the general ourpose of this society, ARTICLE III: MSMEERShIP Section 1: There shall be two membership classes as follows: A, Individual Membership: Any individual who subscribes to the aforementioned purpose of this society shall be eligible for voting membership, B. Organizational i ember ship: Any foundation, business or industrial firm, ‘ corporation, school, club, or other group which subscribes to the aforementioned purpose of this society and supports, the society* s activities by ..an annual contribution shall be eligible for organizational membership in the society. Each such member group may designate a delegate to reoresent it in the affairs of the society. This delegate shall possess all rights of individual membershio. Section 2: All persons who have made application for membership and have paid the dues of this society shall be members in good standing. Section 3: Members who are one year in arrears in the payment of dues shall be dropped from the rolls of this society. ARTICLE 17: OFFICERS ^ EXECUTIVE COUNCIL Section 1; The officers of this society shall consist of a president, vice-oresident, secretary, and treasurer. Section 2: That the executive council shall consist of the officers of this society, the immediate past president, and three elected cotin oilmen . Section 3: The executive council shall conduct the business of this society subject only to the decisions on policy by the membershio. ARTICLE V: DUTIES. OF THE OFFICERS Section 1: The president shall preside at all meetings. He shall appoint all special committees and be chairman of the executive council. He may also appoint delegates to other societies or conventions,. 7 . The secretary shall keep the minutes of the meetings. of the society; shall give notice of meetings; shall attend to the general correspondence; shall keep all records and files of the society; and shall generally perform all duties required of a secretary and those duties delegated to him. The treasurer shall receive all monies for the society and deposit them in the name of the society in such banking insti- tutions as the society or the executive board shall direct. He shall pay therefrom. all bills and obligations of the society. He shall keep an account of all monetary transactipns and shall annually, or upon demand by the president of the executive council submit statement of the financial affairs. of the society. That the officers shall hold office for a term of one year. That the three elected councilment shall not be- officers of the society. That the terms of the elected councilman* shall be for three years and shall be staegered so that only one council- man" s term shall expire in any calender year. That at the expiration of his tem of office, each officer shall deliver to his successor all books, papers,, funds and vouchers belonging to the society. That unexpired terms in executive council may be filled by appointment by executive council. . .The appointed officer or councilman shall complete the term of office. ARTICLE VI: i'ffiETIljGS. Section 1: Meetings, field trips and conventions may be held as directed by the by-laws. . • Section 2; An annual meeting may be held at- such a time and place as the executive council shall determine. ARTICLE VII: PUBLICATIONS Section 1: The society may publish a periodical and occasional papers, or checklists as the society shall deem. -.advisable. Section 2: The president or the executive council may appoint an editor or editors as may be necessary to issue publications, occasional papers or checklists. ARTICLE VIII: ACTIVITIES AND DISSOLUTION Section 1: The society shall be organized and operated exclusively for scientific and educational purposes, and shall not be organized or operated for profit. No part of the net earnings of the society shall or may under any cicumstances inure to the benefit of any individual. The society shall not participate in, or intervene in, any political campaign on behhalf of any candidate for public office. 2; Upon dissolution of the society, the officers shall distribute the assets to one or more organizations that meet the limitations prescribed in Section 1. IX: AMENDMENTS 1: This constitution may be amended, altered or repealed by a two-thirds vote of the members present at any regular meeting or the annual meeting. A copy of each proposed amendment shall be presented at the meeting proceeding the meetings at which the amendment is voted upon. 2: The by-laws of this society may be amended, altered or repealed by a majority vote of the members present at the annual meeting. BY UWS OF THE WISCONSIN ENTOMOLOGICAL SOCIETY I: DUES 1; The annual dues for members of this society shall be set annually by the executive council and shall entitle the member to a subscription to the periodical published by the society. The society may charge any reasonable fees and charges for other publications. II: MEETINGS OF THE MEMBERSHIP 1: Meetings shall be held bimonthly from October through June and at such other times as the executive council shall determine. 2: The fiscal year of this society shall begin on October 1 and shall end on the next September 30. 3: The financial records of this society shall by audited by the Auditing Committee after each fiscal year and prior to the annual meeting. 4: The annual meeting shall be held in October or November, the date and place to be determined by the Executive Council. Elections of officers shall be held at the annual meeting. 5: That the regular meetings of the society shall be held in Russell Laboratories of the University of Wisconsin, but that the executive council may conduct meetings anywhere within the boundaries of the State of Wisconsin. 6: A Majority of the members present at the monthly meetings or annual meetings shall be required to transact the business of the society. 9 ARTICLE III: MEETINGS OF THE EXECUTIVE COUNCIL Section 1: The executive council shall meet bimonthly but that the president may call meetings at such times end in such places as he deems necessary f or the proper conduct of the Section 2; affairs of the society 0 , The president shall appoint such committees and committee chairman as he shall deem best, .
