ARTICLES OF ASSOCIATION.

Article I. The corporate name of this association shall be The Lincoln Club of LaFayette; its location, the City of LaFayette, Tippe- canoe County, Indiana.

Article II. This association is incorporated for liter- ary and scientific purposes, and for mutual improvement.

Article III.

The officers of this association shall be a President, two Vice-Presidents, a Secretary, a Treasurer, and a Board of Directors, nine in number. All officers shall be elected by ballot, at an annual meeting of the associa- tion, to be held on the first Saturday of March in each year, and shall immediately thereafter take their offices. A majority of all the votes cast shall constitute an elec- tion. All officers, excepting Directors, as hereinafter provided, shall be elected for a term of one year. At each annual election

after the first, held under these amended Articles of Association, two Directors shall be elected for a term of three years. At the first election held under these amended Ar- ticles, two of the Board of Directors shall be elected to serve for one year, two for a term of two years, and two for a term of three years.

The President, Secretary' and Treasurer shall be, ex officio, members of the Board of Directors, bat neither of them, when elected, shall be cliosen from the Directors then holding over. All officers shall serve until their successors are elected and take their offices.

Article IV.

The corporate seal of this association shall be in the following form, style and de- scription, to wit : a circular, indented im- pression, ha^ving on its margin the words '■ Lincoln Club, LaFayette," across its cen- ter the figures "i8So," and on its face a design representing fasces, encircling which are the words, "^aiione, Amicitia Ex- emploque. "

Article V. The members of this association shall be governed by such by-laws and rules as may be adopted from time to time. Membership

maj' be terminated b^' resignation, forfeiture or expulsion.

Article VI. After the 3d day of March, 18S3, no certifi- cates of stock in this Association shall be issued. Persons who may hereafter become members of the same shall, in lieu of being required to purchase stock, pay an initiation fee, as provided in the by-laws. The cer- tificates of stock which have been heretofore issued shall, so far as practicable, be surren- dered to the Secretary of the Club, to be by him held in trust until all said certificates are so surrendered, when all of the stock shall thereupon be canceled.

Article VII. All right and interest of each member in the estates, property, privileges and fran- chises belonging to this association shall cease at his death, or when his membership in this association is terminated.

Article VIII. These Articles of Association may be amended by a three-fourths vote of the members present at any annual meeting of the Club.

BY - LAWS.

Article I. The officers of The Lincoln Club shall be a President, two Vice-Presidents, a Secre- tary, a Treasurer and a Board of nine Directors. All officers shall be elected by ballot at an annual meeting of the Club, to be held on the first Saturday of March in each year, and shall immediately thereafter take their offices.. Amajority of all the votes cast shall constitute an election. All offi- cers, excepting Directors, as hereinafter provided, shall be elected to serve for a term of one year. At each annual election after the first, held under these amended Articles of Association and amended By-Laws, two Directors shall be elected for a term of three years. At such first election two of the Board of Directors shall be elected to serve for one year, two for a term of two years, and two for a term of three years. The President, Secretary and Treasurer shall be, ex officio, members of the Board of Directors, but

neither of them, when elected, shall be chosen from the Directors then holding over. All officers shall serve until their successors are elected and take their offices.

Article II. The President, or in his absence, one of the Vice-Presidents, shall preside at all meetings of the Club, with power to vote in cases of tie.

Article III. The Secretary shall keep the records and papers of the Club, except those relating to its current financial affairs; shall send out all notices, answer all correspondence, and perform such other duties as may be assign- ed to him by the Board of Directors.

Article IV. The Treasurer shall keep the accounts of the Club, collect and disburse its funds, under the direction of the Board of Direc- tors, and exhibit his accounts at the annual meeting of the Club. He shall exhibit the books at any time to any member of the Board of Directors, [upon reasonable request.

Article V. The government and control^of the]Club, of its affairs and its membership, are en-

To admit and expel members by ballot, \

one adverse ballot excluding, and a two- thirds vote of the nine members of the Board in favor of expulsion, expelling;

To declare forfeited the membership of any member of the Club for non-payment of dues, assessments or other indebtedness, or for an}' misconduct, and the Board shall be the judges of what constitutes such mis- conduct ;

To fill any vacancy that may occur in any office until the next ensuing annual meeting of the Club, when the Club shall fill such vacancy ;

To admit visitors ;

To appoint, direct and dismiss the em- ,

ploy^s and servants of the Club ;

To make rules for the use of the Club by its members, and for their conduct in the Club-house, and anj- other regulations not inconsistent with the By-Laws and Articles of Association ;

To fix and remit penalties for the viola- |

tion of the By-Laws and Rules ;

To call special meetings of the Club to ;

To have charge of all the property, effects and assets of the Club.

Article VI. The Board of Directors shall meet at 7.30 p. m. on the first Thunsdaj- in each month. Five members shall constitute a quorum at any meeting. Special meetings of the Board maj- be called at the request of the President or of any. two members of the Board, upon notice given at least twenty-four hours be- fore the time appointed therefor. Any member of the Board absent from three con- secutive regular meetings without permis- sion of the Board, or without sufiicient excuse, may, by a vote of the Board, be held to have resigned his office.

The Board of Directors shall report at each annual meeting upon the condition of the Club.

Article VII. The annual meeting of the Club shall be held on the first Saturday of March in each year, at 8.00 p. m. At any meeting of the Club twenty-five members shall constitute a quorum. In the absence of the President and Vice-Presidents, the presiding officer

pro tern, shall be chosen by the members present. Voting by proxy shall not be al- lowed. No stranger shall be present at any meeting of the Club.

Article VIII. Fifteen members may call a special meet- of the Club, with or without the consent of the oflBcers, by posting a written call, over their own signatures, upon the bulletin board in the' Club-house; notice of such meeting to be sent to each member of the Club at least five days before the same is to occur, and the subject or subjects of such meeting to be stated in the notices.

Article IX. The number of resident members of this Club is limited to one hundred and fifty. Only such persons as are more than twenty- one years of age, and in politics belong to the Republican party, shall be eligible for membership. Such persons that reside out- side of LaFayette or West LaFayette may, if otherwise eligible, be elected non-resident members of the Club. They shall enjoy all the privileges of membership except the right to hold ofiSce or to vote, but shall ac- quire no interest in the property of the Club. The names of all persons proposed for mem- bership, with the nanies of the members

proposing them, shall be posted on the bul- letin boaxd for at least fourteen days, and the amount of the initiation fee must be paid to the Treasurer of the Club before be- ing voted upon by the Board of Directors. The}- shall consider and treat as confidential all communications in reference to the per- sons proposed, make careful examination as to their qualifications, and shall pass upon the name of each candidate separately. One negative vote shall be a rejection of a can- didate. No person so rejected shall be eligible for six months thereafter. The pro- ceedings of the Board shall be secret and confidential. A member-elect must pay a proportion of the quarterly dues correspond- ing to the unexpired portion of the current quarter year, no notice being taken of the fraction of a month.

Article X.

For resident members the initiation fee shall be twenty-five dollars ; the annual dues eighteen dollars. For non-resident members the initiation fee and annual dues shall be one-half of the amount paid by resident members. The annual dues shall be payable in advance on the first days of January, April, July and October in each year. . : ; ,

In case a non-resident member shall be- come a resident of LaFayette or West LaFayette, he shall be required to pay an additional initiation fee of the same amount that he paid at the time of his admission to the Club.

Where a resident member shall become a non-resident, he shall be entitled, on written notice to the Secretary-, to be classed as a non-resident member, and his reduction in dues shall date from time of said notice. A resident member, who has changed to a non-resident member, and then again be- comes a resident member, shall be exempt from paying any additional initiation fee. The Board of Directors shall be authorized to decide, in case gf doubt, in regard to the residence of members.

When the dues, assessments, or other indebtedness of any member shall remain unpaid for two months after a written notice to pay the same shall have been sent to him, his membership shall be declared forfeited by the Board of Directors, and he shall thereupon cease to be a member of the Club. A member thus forfeiting his membership, may be reinstated within three months after such forfeiture, by a two-thirds vote of the Board, upon the payment of all arrears. A member resigning shall be held liable for

the fall payment of dues for the current quarter year. No one who shall forfeit his membership shall be admitted into the Club House, unless re-instated or re-elected. If any one, having forfeited his member- ship, shall be re-elected a member, he shall ■pay the amount of his indebtedness due at the time of forfeiture, in addition to the initiation fee and dues.

Article XI.

No member of the Club shall be expelled for misconduct, until he shall have been afforded an opportunity to be heard before the Board of Directors in his defense. A motion to reconsider the expulsion of a member, may be made at the same meeting when such expulsion is resolved upon, or at the next regular meeting of the Board of Directors, but at no other time No one who shall have been expelled from the Club, shall ever be reelected a member or admitted into the Club House.

Article XII.

A member may invite to the Club House, once only, a resident of the city of LaFayette, who desires to become a member of the Club.

A member may invite a non-resident visitor to the privileges of the Club for one day, by recording his name upon the Visitor's Book, but can have no more than two guests at a time. The invitation may be extended two weeks upon the written assent of a member of the Board of Directors, and maybe re- peated, if the visitor has been absent from the city three months. The Board of Direc- tors maj- revoke thef invitation at any time. The names and residences of all visitors, and the names of the members introducing them, must be recorded, and such members will be held responsible for their guests.

Article XIII.

No debt beyond the ordinary running expenses, shall be created without a two- thirds vote of a meeting of the Club. A two-thirds vote of a meeting of the Club shall be necessary to levy an assessment.

Article XIV.

Upon all questions of the construction of

the By-Laws, the decision of the Board of

Directors shall control, until overruled by a

two-thirds vote of a meeting of the Club.

Article XV. A register shall be kept in the Club House, in which any member may record his name and address. Notices mailed to the address of any member, as noted in the register, shall be considered properly sent. If a member fails to record his address in the register, notices shall be mailed to his last address known to the Secretary of the Club. Such notices shall be held to have been received two days after being so mailed.

Article XVI.

No game of hazard shall be played in the Club house. No person shall bet on any game, under penalty of e.xpulsion, if a member of the Club, and ejection from the Club House and exclusion therefrom, if a visitor or guest.

Article XVII. No alteration shall be made in the By- Laws, without a two-thirds vote of a meet- ing of the Club, and notice of any proposed alteration must be posted in the Club House, for at least ten days previous to the meet- 'ing at which such proposed alteration is to be considered.

Article XVIII.

Members-elect must sign the Constitution and By-Laws, before becoming members in regular standing.

HOUSE RULES.

Hours The Club House will be open from 8 o'clock A. M. to 12 o'clock midnigM.

Visitors A member may invite to the Club House, once only, a resident of the city of LaFayette, who desires to become a member of the Club, Otherwise, male resi- dents of the city of LaFayette, not members of the Club, shall not be admitted to the Club House, excepting on the occasion of a public reception.

Boys will not be allowed to visit the Club House.

Games No games shall be played on Sunday. Members shall not occupy the billiard tables for more than two consecu- tive games, to the exxlu;ion of others de- siring to play.

Wagers No wager upon elections, games, or other events of any kind, shall be made in the Club House.

Property Any property of the Club, broken or injured, must be promptly paid for by the member with whom the accident may occur.

No member shall take from the Club House, or mutilate or destroy, any book, pamphlet, newspaper, or other article be- longing to the Club.

Subscription Papers No subscription paper can be circulated, nor any article exposed for sale in the Club House, without the permission of the Board of Directors.

Dogs— Dogs shall not be allowed in the Club House.

Complaints Members of the Club are requested to communicate in writing, to the Secretary, any suggestions or complaints, in regard to the management of the Club.
