Whereas Toussaint Pothier, Robert Piper, John Fleming, Jules Queshel, J. Stephenson, M. D., A. F. Holmes, M. D., Henry Corse, H.H. Cunningham^ 4 Benjamin Holmes, William Belin, Guillaume Vallee) M. D. and William Hedge, for themselves and others, Members of the Natural History Society at Mon- treal, have by their humble petition represented that they have procured a large collection of valuable Works, Instruments, objects of Natural History and Curiosities, and that it has become an object of soli* citude with them to ensure the permanent continu- ance of the institution, thereby tending to promote the study of Natural History and General Science and Literature ; and that to prevent the said valuable collection being dispersed or divided, they are desir- ous of being incorporated and subject to such rules and regulations as the nature of their institution will require ; and whereas the study of Natural History, is much connected with the wants, the comforts and the happiness of mankind ; and whereas all laudable attempts to promote the progress of Science in this Province, ought to be encouraged : Be it therefore enacted by the King's Most Excellent Majesty, by and with the advice and consent of the Legis- lative Council and Assembly of the Province of Lower Canada, constituted and assembled by virtue of and under the authority of an Act passed in the Par- liament of Great Britain, intituled, " An Act to re- peal certain parts of an Act passed in the fourteenth year of His Majesty's Reign, intituled, 'An Act for making more effectual provision for the go- vernment of the Province of Quebec in North Ameri- ca^ " and it is hereby enacted by the authority of the same, that the several persons who now are or who from time to time may become Members according to the rules and regulations of the said Society, shall be and are hereby declared, ordained and constituted a body corporate and politic by the name of ** The Natural History Society of Montreal," and by that name they and their successors shall and may for «ver hereafter have perpetual succession, and by li- the same name be capable in law to sue and be sued, implead and be impleaded, answer and be answered, and to defend and be defended in all Courts, and places whatsoever, and may have a common seal with power to alter and change the same at their pleasure from time to time, and shall be capable of purchasing, holding and enjoying any real estate for the use of the said Corporation, and any goods, chattels, or personal estate, and of selling, leasing or otherwise disposing of the said real or personal estate or any part thereof at their will and pleasure. Pro- vided always that the clear annual value or income of such real or personal estate shall not at any one time exceed the sum of one thousand pounds curren- cy, and provided also that the funds of the said Corporation shall be used and appropriated to the promotion of the study of Natural History and Gene- ral Science and Literature, and the other objects con- templated by the establishment and formation of the said Society and no other. II. And be it further enacted by the authority afore- said that in all and every suit or suits in law, which may hereafter be instituted against the said Corpora- tion, service of the process at the place where the Museum and Library of the said Corporation are de- posited, shall be sufficient to compel the said Corpora- tion to appear and plead to such suit or suits, any law, custom, or usage to the contrary in any wise notwithstanding, and all and every suit or suits at law, which at any time may be instituted by or on be- half of the said Corporation, shall be instituted and prosecuted in the v^^me of the Natural History So- ciety of Montreal. III. And be it further enacted by the authority aforesaid, that for the management of the affairs of the said Corporation, there shall be annually elected by separate bal lots, by the Members of the said Cor- poration, and by a simple majority of the votes of the Members present at the Special and Annual Meeting hereafter provided for, the following officers, a Pre- sident, a First Vice President, a Second Vice Presi- dent, a Third Vice President, a Corresponding Secre- tary, a Recording Secretary, a Treasurer, a Librarian and Cabinet-Keeper, as also five other Members, who, together with the Officers hereinbefore named, shall constitute and form the Council of the said So- ciety or Corporation. IV. And be it further enacted by the authority afore- said, that the said Special and Annual Meeting for the election of the Council of the said Corporation, shall be held at the place in which the usual meetings of the said Corporation are held, on the eighteenth day of May in each and every year. Provided always, that whenever the said eighteenth day of May shall happen on a Sunday or on a Holiday or Fete d' Obli- gation, the said Annual Meeting shall take place on the nineteenth day of the said month of May. V. And be it further enacted by the authority afore- said, that if at any time it shall happen that the elec- tion of the Council as hereinbefore directed, shall not be made or take effect on tbe day when, in pursuance of this Act, it ought to be made and take effect, the said Corporation shall not be deemed or taken to be dissolved, but it shall be lawful at any other time to make such election at a meeting of the Members pf the said Corporation to be called for that purpose, and any twelve Members of the said Society assem- bling at the time and place designat^^d for that pur- pose, either at the said Annual and Special Meeting or at the one substituted in lieu thereof, shall consti- tute a legal meeting of the said Society, and be com- petent to proceed to the business of such meeting. VI. And be it further enacted by the authority aforesaid, that the said Society or Corporation shall consist of an indefinite number of Ordmary, Corres- ponding and Honorary Members, all of whom shall re- \si' re- lan rs, id, Jo- of be chosen by ballot, according to the forms and under the restrictions and conditions hereinafter prescribed, /which said Ordinary Members shall pay and contri- bute to the funds of the said Corporation, such an- nual subscription, as may from time to time be enact- ed by the By-Laws, Rules and Regulations of the said Corporation ; the said Corresponding Members shall be those who reside at a distance from the city of Montreal, but who shall have no veto at any of the meetings of the said Corporation, and shall not be eligible to any of the offices thereof; and the said Honorary Members shall be those only who are distinguished and celebrated for their scien- tific attainments, and shall enjoy all the privileges now enjoyed by the Ordinary Members, except in so far as respects the right of voting for the election of the Council of the said Corporation. VII. And be it further enacted by the authority aforesaid, that all prepositions for the election of new Members for the said Corporation, whether Ordinary, Corresponding, or Honorary Members, shall be made in wrltmg at an ordinary meeting of the said Society, by a Member thereof, and seconded in writing by an- other Member thereof, and the name of the person so proposed, together with those of the proposer and seconder, shall be placed in some conspicuous part of the room or place where the meetings of the said So- ciety usually are held, and there remain till the next ordinary meeting, at which time the ballot on the said proposal shsul take place. Provided always, that the affirmative votes of three-fourths of the Mem- bers present at any such ordinary meeting shall be requisite for the due election of any such Member, and the quorum necessary at any such meeting to qualify it or render it competent to proceed to the election of any Ordinary Member shall be ten, for a Corres- ponding Member twelve, and for an Honorary Mem- ber sixteen. VIII. And be it further enact«3d by the authority 8 aforesaid, that at all ordinary meetiDgs of the said So> ciety, seven Members of the said Corporation shall be a competent quorum to proceed to all the usual busi- ness of the said Corporation, except in such cases as herein otherwise specially provided for, and what- ever question, matter or thing shall be proposed, dis- cussed, or considered at any such meeting or any other meeting of the Society, shall be finally deter- mined by the majority of votes of the Memliers pre- sent at such meeting, except as herein otherwise provided for, ^ IX. And be it further enacted by the authority afore- said, that the said Corporation may hold Extraordin- ary Meetings, to be called and summoned in such manner and form as may agreed upon by the Mem- bers of the said Corporation ; provided always, that such extraordinary meetings shall not be competent to proceed to the business to be submitted to the said meeting, unless twelve Members thereof are present. X. And be it further enacted by the authority afore- said, that the said {Society shall, from time to time, for ever hereafter have power to make, constitute, or- dain, and establish' such By-Laws, Rules and Regula* tions as they shalljudge proper for the mode of election of their Council ; for prescribing their functions and the mode of discharging the same ; for the admission of new Members ; for the government of the Officers and Members thereof; for collecting and appointing the time of payment of the annual contributions of the Or- dinary Members to the funds thereof ; for regulating the times and places, and mode of summoning of the ordinary and extraordinary meetings of the said Socio* ty ; for suspending or expelling such Members as shall neglect or refuse to comply with the By-Laws and Regulations ; and generally for the managing or di- recting of the affairs and concerns of the said Society. Provided alwajrs that such By-Laws, Rules and Re- gulations shall m no wise be repugnant to the Statutes, Cust^ quir< By-L| ditioi Kegi ther< i- s I- y d Customs or T,aws of thisProvinco, or to the express re- quirement. 1 Js Act ; And provided further that such By-Laws shall have no effect, nor any alterations or ad- ditions he made thereto,unless suchBy -LawsjRules and Regulations, or the proposed alterations and additions thereto,shall have been announced and read at a meet- ing of the said Society, at least four weeks previously to their being submitted for the adoption thereof by the eaid Society, at a meeting at which at least twelve Members shall be present, and unless the same shall be adopted at such further meeting by at least three fourths of the Members then present. XI. And be it further enacted by the authority aforesaid, that the above specified enactments shall be held and considered as the Constitution of the said Society or Corporation, and shall continue after the passing of this Act to be the Constitution thereof, and that no addition or alteration thereof can be made there to j except on the written motion of three Mem- bers of the said Society, after four weeks notice thereof, and after publication of the proposed alterations and additions m at least two of the newspapers published in the said city of Montreal during two weeks, and adopted by at least three-fourths of an extraordinary meeting called by public notice for that purpose, and at which not less than twenty-eight Members shall be present. XII. And be it further enacted by the authority aforesaid, that it shall and may be lawful for the Go- vernor, Lieutenant-Governor, or person administer- ing the Government of the Province for the time be- ing, or for any or either Pranch of the Provincial Parliament, from time to time, to require from the said Society or from the Council thereof, true statements under oath (which oath any Jus- tice of the Peace is hereby authorized to administer) of the receipts and expenditure of the said Society, and of the real and personal estate held and enjoyed by the said Society. 10 XIII. And be it further enacted by the authority aforesaid, that nothing in the present Act contained shall aifect or be construed to afiect in any manner or way whatsoever the rights of His Majesty, his heirs or successors, or of any. person or persons, or of any body politic and corporate, such only excepted as are herein mentioned. XIV. And be it further enacted by the authority aforesaid, that this Act shall be deemed and taken to be a public Act, and as such shall be judicially taken notice of by all Judges, Justices of the Peace, ^and other persons whatsoever, without being specially pleaded. ; . BY-LAW8. CHAPTER I. OF MEMBERS. I. — The ordinary members of this society shall pay an annual contribution of one pound five shillings currency, or, in lieu thereof, a life subscription of ten pounds currency. The annual contribution shall be paid in advance, on the first day of January in each year. II. — Ordinary members,who may be elected before the expiration of the month of June in any year, shall pay the contribution for a whole year, and those who may be elected after the month of June,and before the month of December, shall pay one half only of the annual contribution for that year. Those elected in December shall be exempt from contribution till the first of January next ensuing. Ill, — Candidates for election as ordinary or corres- ponding members shfll pay a fee of five shillings currency for a diploma, which fee shall in the case of corresponding members be paid before the ballot for the candidate, subject to immediate repayment should the ballot be against his admission. 12 IV.— Every member proposing a candidate as an ordinary member, shall be bound to produce a decla- ration signed by the candidate, of the form contained in Appendix A., and to deposit in the hands of the Treasurer of the society, at the time of ballotting and before the ballot shall be allowed, the contribution to become due by such candidate up to the first day of January next thereafter, and in the case of an election in December, the contribution for the following year, as also the fees for the diploma and By-Laws ; such contribution and fees to be immediately returned, should the ballot be against the admission of the candidate. V. — No ordinary member shall be permitted to vote on any question, until he shall have signed the By-Laws and Regulations of the society. VL — No ordinary member, whose annual contribu* tion shall be in arrear for one year, shall be eligible to office or to vote at any meeting of the society, and should such annual contribution remain unpaid for two years, the member shall be notified personally to pay the same within twenty days ; should the same remain unpaid, after such notice, such member shall be expelled the society at the next monthly meeting thereof. No member who shall have been expelled shall be re-admitted as a member, unless tho r.rrears due by him at the time of expulsion shall be paid. VIL — Any member who shall refuse or neglect to comply with the By-Laws and Regulations of the society, may be expelled by a vote of three-fourths of the members present, at an extraordinary meeting to be called for that purpose. to II raei of; 13 yill. — Corresponding members shall be entitled to attend the meetings of the society. IX. — No person shall be elected as a corresponding member of this society, unless he reside at a distance of at least ten miles from Montreal. X. — Should any corresponding member remove his residence to Montreal, or to any place within ten miles thereof, he shall be held to declare in writing his wish to become an ordinary member within six months after the day of his removal, in default there- of he shall be notified by the Recording Secretary of the existence of the present by-law, and should the corresponding member neglect to comply therewith^ he shall cease to be a member of the society. XL — Corresponding members signifying their de« sire to become ordinary members, shall not be sub- jected to ballot, but shall be admitted on paying the annual contribution as an ordinary member, from the period they shall signify the'r desire to become so ; the first contribution payable in advance at the meeting at which such declaration shall be laid be- fore the society, in default thereof such declaration shall not be considered as having been made. XII. — Every ordinary member, who shall absent himself from the Province for more than one year, shall, in lieu of the annual contribution, be held to pay at the rate of ten shillings per annum only, for every year during which such member may be absent ; sudi member, however, shall be held to pay this commuted ' contribution within three months after his return to the Province, in default of which payment the mem-i 14 ber shall be considered as having withdrawn from the society on the day of his departure from the Province, and shall not again be admitted into the society without a new ballot. XIII. — Any member who may wish to withdraw from the society shall give notice thereof in writing, but his wish shall not be acceded to by the society, until he shall have paid up his subscription to the expiration of the year in which the application to withdraw shall be made. CHAPTER 11. OF OFFICERS. I. — It shall be the duty of the President, when in the chair, to regulate the order of the meeting, to inform the society of the proceedings since the last meet- ing, to cause reports and communications to be read, and, if necessary, the latter to be Acknowledged, to receive and put motions, and to announce to the society what he may think coacerns its interests. He shall keep order, but appeal may be had from his decision to the society itself, provided such appeal be required in writing by five members. The Presi- dent shall have only one vote, and in the event of an equal division of votes on any question, such ques- tion shall be deferred till the next regular meeting, and if then the votes be again equally divided, the motion on which such question may have been made 15 shall be deemed negatived, and shall not be renewed till after the lapse of six months. < II. — In the absence of the President, one of the Vice-Presidents, according to precedence, shall pre- side, and shall be vested with all the powers and privileges of the President, for the time being. III. — The Corresponding Secretary shall conduct the correspondence of the society, read all communi- cations made to him relating to the affairs of the society, and shall, under the direction of the pre- siding officer, acknowledge all donations. IV. — The Recording Secretary shall take minutes of the proceedings of the society and keep a record of the same in a book which shall be laid before the society at every meeting. He shall announce to members their election immediately after the same shall have taken place, and prepare all diplomas. To him shall be committed the charge of all papers belonging to the society. He shall read the reports of committees, conduct all ballots and elections (un- der the direction of the presiding officer) and give notice of the extraordinary meetings of the society, at least forty-eight hours previous to such extraor- dinary meeting. He shall also notify members upon their election to office. He shall enter into a book to be kept for that purpose, all donations to the Cabinet and Library under separate heads, shewing the date, the nature of the donation, and the nan^e of the donor, which book shall be laid upon the table at every meeting of the society. v.— -A Secretary,if necessarily absentjshall depute 16 n; ! ft' ' h !! I another member to fill his place at any meeting, and shall transmit to the presiding officer the minute book of the society, together with such documents and papers, as he may have received since the previ- ous meeting, to be communicated to the society. VI. — ^The Treasurer shall have the charge of all the monies belonging to the society, shall collect all contributions, fees, fines, &c. out of which he shall pay all accounts which shall have been approved by the Council, and keep a regular account of the in- come and expenditure of the society, which account shall be laid on the table for the inspection of mem- bers at the ordinary meetings of the society. He dhall exhibit to the Finance Committee at least one month before the annual meeting, a general statement of the receipts and expenditure of the society, and shall at the same time report all members who may have neglected to pay their contributions or fines. VII. — The Librarian and Cabinet-Keeper shall have charge of the Library and Cabinet, and shall be accountable to the society for all books and speci- mens therein ; of which books and specimens he shall keep separate catalogues. YIII. — The respective officers of the society and the dye members of the Council shall be separately elected in the following manner: — ^Each member present having written the name of the member he may select for any particular office, shall place the paper, folded and without signature, in the ballot-box, the Recording Secretary shall then examine the iwritten votes and report to the presiding officer the it number of votes for each member so selected, and the member having the majority of votes for any office, shall, by the presiding officer, be declared duly elected to fill it. the the CHAPTER Hi. OF THE COUNCIL. I. — ^The Council of this Society or Corporation, aaf constituted by the Act of Incorporation, shall have the sole management of all and every the real and immovable property which may now or hereafter be acquired by the society, and shall have power to authorize the President, or in his absence the pre-^ siding officer of the society for the time being, tor grant a lease or leases of all or any of the housesy buildings or premises, of oc belonging to the society^ for such term of years and for such rent or sum of money as to the said Council shall appear just and reasonable mad most for the interest of the society i and shall also from time to time, when requisite, bar« gain and contract fot and have power to authorize the President or presiding officer for the time being of the society, to accept a deed of sale of lease of all such houses, buildings or premises as may be W" quisite and necessary for the prosecution of the objects of the society, upon such terms and condi^ tions, and in the case of a deed of lease for sueh period as the said Council in their discretion shall see fit. CHAPTER IV. OF COMMITTEES. I.**-At the annual meeting or meeting in lieu thereof, and immedia' )ly after the election of the Council, tk«}re shall he elected by ballot five mem- bers who shall have the superintenda&ce of the Library and be called the Library Committee. It shall be the duty of this Committee, of whom three shall form a quorum, to direct the purchase of such books as may in its discretion be calculated to pro- mote the objects of the socieiy, (provided the price of any one work do not exceed the sum of five pounds, in which case reference n^ust be had to the society, and provided also that the sum to be ex- pended for books do not exceed the appropriation made by the society or Council*) The Library Committee shall report to the Council all purchases of books before the Friday preceding the ordinary meeting of the society. It shall forL:. a catalogue of the Library to he left with the Lib arian. It shall decide what books may or may not be taken out of the Library. A general report of the state of- the Library shall be prepared by this Committee, and be laid before the society at the ordinary meeting in April. IL-^At the ordinary meeting in March there shall «9 be elected by ballot three members to form tbe Com- mittee of Finance. This Committee shall examine the Preasurer's accom^ts, and report thereon at the ordinary meeting of the society in April, and shall at the same time submit a clear statement of the in- come and expenditure of the society for the past year. III. — Whenever a Committee of the society shall be appointed, such Committee shall have the use of the society's room as a place of meeting, provided that the Cabinet Keeper shall have due notice of the time of such meeting. ■ :JfA CHAPTER V. OF THB CABINET. The Cabinet shall be in charge of the Cabinet Keeper. It shall include four departments, viz. Zoology, Botany, Mineralogy and Miscellanies, of which a catalogue sliall be made by the Keeper, wherein each specimen shall be entered and num- bered under its respective head, to correspond with the number affixed to the specimen. No specimen, r shall be taken out or removed unless with the sano", tion of the Council, or of the Committee superintend - ding the particular department to which such spe-i^a cimen may belong. Duplicate specimens may be disposed of by the Committees for an equivalent. Donations to the Cabinet shall be entered in the catalogue of the department to which they belong, and the name of the donor entered opposite the donations. No case shall be opened without the consent of the Cabinet Keeper. CHAPTER VI. OF THE LIBRARY. < I. — ^The Library shall be in charge of the Libra- rian, under the superintendence of the Library Com- mittee. IL — An^ member wishing to take out a book must apply to the Librarian on the proper days fixed by the Library Committee, and the title of the book so taken out shall be entered by the Librarian in a book to be kept for that purpose, under the name of the member, specifying the date of borrowing. Any book (periodical works excepted) may be kept by a member during two weeks, and if not then returned, the member retaining the same shall pay a fine of one shilling and threepence, and an additional fine of two shillings and sixpence for eyeiy succeeding week, to be imposed on the eighth day from the preceding one. in. — ^Periodical works, va^iSL they shall have been three months in the Library, shall be retained during seven days only. IV. — Books when returned at the appointed time may, if not previously applied for by another mem- ber, be renewed for another fortnight. 22 It :i; I I! ' 1 H V. — No book shall be purchased for the library, unless it shall treat of some scientific subject or some branch of Natural History. Donations of books on any subject may of course be placed in the Library. VI. — Any member injuring or defacing a book shall be fined or required to replace the work or pay its value, at the discretion of the Committee. VII. — All fines provided for by this chapter shall be paid to the Librarian, and by him to the Trea- surer. .Jr YIIL — No member shall be allowed to take out any book, while his fine on a former one remains un- paid. IX.-*-- All bound books shall be stamped' with the words " Natural History Society" on the hack, and the name of the society shall be inscribed or stamped on the title page of pamphlets. r X. — On the Monday preceding the (u^dinary meet- ing of Jibe society in April, all books iriiall be called in and be examined by the Library Committee, who •hall report on the state of the Library at the ordi- nary meeting in April. No question or subject shall be discussed or taken into consideration at any extraordinary meeting, except that for which it may have been specially called. III.--«In case of the absence of the President and Vice-Presidents, any other member may be chosen to preside at that meeting ; and shall be vested with all the powers and privileges of the Prei»dent. IV. — At the ordinary meetings of the Society the following order of business shall be observed, viz : — 1. The chair liiall be taken at eight o'clock from the 1st of May to the 1st of November, and at seven o'clock during the remaintng months, for the transaction of private business, which should not be protracted beyond one hour. 2. l^e minutes of the last meeting ^mil be read. 3. Reports of Committees shall be announced 6y the presiding officer and read by the Recording Secretary. 4. Communications received by the Corresponding Secretary shall be read. 5. Reports of the Council shall be read. 6. Donations and additions to the Museum or Li- brary shall be exposed on the table and noticed by the presiding officer. 7. Candidates proposed at the last previous meet- ing shall be ballotted for ; and the names of candi- dates proposed for ballot at the next meeting shall be announced. 9. The chair shall be taken (if necessary) for public business. 12. Any Essay presented shall be read, and time being allowed for conversation thereon, the society shall adjourn. APPENDIX A.
