CONSTITUTION

ARTICLE I.

This Society shall be called "The Numismatic and Antiquarian So- ciety of Philadelphia." Its object shall be to encourage and promote numismatic science and antiquarian research.

ARTICLE II.

The Society shall consist of resident members, corresponding mem- bers, and honorary members.

ARTICLE III.

The officers of the Society shall be a President, one or more resident Vice-Presidents, an honorary Vice-President for such other of the United States as the Society may from time to time determine, not to exceed one for each State, a Recording Secretary, a Corresponding Secretary, a Treasurer, an Historiographer, one or more Curators, and a Librarian, all of whom shall be elected annually, at the stated meet- ing in December.

In case an election shall not be held at the meeting thus designated, the officers then acting shall continue in office until the time of the next regular election shall arrive.

ARTICLE IV; The Society shall have a common seal.

ARTICLE V.

The right of voting, of holding offices, and of transacting business, lies solely with the resident members. Honorary and corresponding members shall have all other privileges of resident members.

ARTICLE VI.

The Society may establish such By-Laws for its government and reg- ulation as may be deemed necessary and proper.

ARTICLE VII.

No change shall be made in thip Constitution unless by a vote of three-fourths of the members present at a stated meeting, notice of such proposed change having been submitted in writing at a previous stated meeting.

BY-LAWS

CHAPTER I.

OF OFFICERS AND THEIR DUTIES.

Article I. The President shall occupy the chair at the meetings of the Society, enforce the laws, preserve order, regulate the debates, and shall give the casting vote when necessary.

Article II. In the absence of the President, one of the Vice- Presidents, or in the absence of all, a President pro tetnpore shall occupy the chair, and perform the duties of the President.

Article III. Any such persons as shall in the opinion of the Society merit that distinction, may, on the recommendation of three members, be proposed in writing, as candidates for honorary Vice-Presidents.

Article IV. The Recording Secretary shall take and preserve cor- rect minutes of the proceedings of the Society, preserve all documents belonging thereto that may come into his possession, notify all commit- tees of their appointment, and keep a correct list of the members of the Society, with the date of their election, resignation, or death.

Article V. The Corresponding Secretary shall conduct and pre- serve the correspondence of the Society, notify all members of their election, and acknowledge all donations by letter. He shall keep cor- rect copies of all letters written on the business of the Society, and shall read a minute of his action at each stated meeting.

Article VI. The Treasurer shall receive and take charge of the funds of the Society, and attend to the collection and payment of moneys. He shall keep a clear and detailed statement of all receipts and expenditures, to be laid before the Society annually, at its stated meeting in January, and when called upon by the Society. He shall take charge of the common seal of the Society, and also of the cer- tificates of membership, and have them filled up, signed, sealed, and forwarded to members.

Article VII. The Historiographer shall collect and preserve mate- rials for the history of the Society, and for biographies of its members, and whenever deemed advisable shall prepare the same for publication.

CHAPTER II.

OF MEMBERS.

Article I. Any candidate must be proposed in writing by two members at one stated meeting, and may be balloted for at the next stated meeting of the Society, when two negative votes shall defeat an election.

Article II. No person residing in Philadelphia can be chosen a corresponding member ; nor shall any corresponding member continue such after he shall have removed permanently to Philadelphia. In such case a re-election is not necessary, but the corresponding member be- comes liable for the annual contribution, and is entitled to all the privileges of a resident member.

Article III. The Society shall grant to each resident member a certificate of membership, if requested.

Article IV. If any person shall be balloted for and rejected, or his name shall be withdrawn previous to the ballot, no note of such rejection or withdrawal shall be made on the minutes of the Society.

Article V.-^-No person thus rejected shall again be proposed, nor shall any one whose name shall have been withdrawn previous to the ballot be again proposed before the expiration of six months from said withdrawal, and then must be balloted for by unaninious consent of the Society.

Article VI. All such persons as shall in the opinion of the Society merit that distinction, may, on the recommendation of three members, be proposed as candidates for honorary membership at one stated meet- ing, and be balloted for at the next stated meeting, when a unanimous vote shall be necessary to an election.

Article VII. The Director of the United States Mint shall " ex- officio" be an honorary member of this Society.

CHAPTER III. OF contributions and donations.

Article I. Every resident member elect shall pay to the Treasurer, within three months after his election, an initiation fee of five dollars, and a diploma fee of one dollar.

Article II. Every resident member shall pay annually to the Trea- surer a contribution of five dollars on the first of January. Resident members removing permanently from the city shall become correspond-

ing members of the Society, and be relieved from further annual con- tributions to the Society.

Article III. Any member may become a life-member of the Society by a contribution of fifty dollars, which payment shall exonerate him from all further pecuniary contributions to the Society.

Article IV. No member shall be entitled to vote at the annual election of officers, unless he can exhibit to the tellers a receipt in full for all arrearages due by him to the Society.

Article V. No pecuniary contributions shall be required from Hon- orary Vice-Presidents, or from Honorary or corresponding members.

Article VI. All donations to the Society shall have the name of the donor attached to them, and shall be registered in the catalogues.

CHAPTER IV.

OF RESIGNATIONS AND EXPULSIONS.

Article I. —Any member shall have leave to resign upon application in writing, provided he can produce a certificate from the Treasurer that all arrearages due from him to the Society have been discharged.

Article II. A member may be expelled from the Society for suffi- cient cause, by a vote of three-fourths of the members at a stated meeting, notice of the intention of the Society to consider the subject of expulsion of a member having been given at a previous stated meeting.

Article III. When the dues of any member shall remain unpaid for the space of two years, the Treasurer shall notify him that, unless the same he />atW within one calendar month thereafter, his membership shall cease ; and, in case such dues shall not be paid pursuant to such notice, he shall be reported to the Society, and thereupon he shall cease to be a member of the Society.

Article IV. No member shall be expelled without having an opportunity of being heard in his own defence, and any member thus expelled shall under no circumstances be received as a candidate for re-election.

CHAPTER V.

OF COMMITTEES.

Article I. The Standing Committees of the Society shall each be composed of three resident members, who shall be elected annually at the stated meeting in December, and shall be as follows :

I. On Numismatics^ of which the Curator of Numismatics shall be a member ^^ ex-oiHcioy The duties of this committee shall be to col-

lect and preserve matters relative to the Science of Numismatics, and to present to the Society such questions as it may thiek proper ; and to prepare replies to such inquiries as may from time to time be referred to it.

2. On Antiquities^ of which the Curator of Antiquities shall be a mem- ber ** ex-officio.'' The duties of this committee shall be to collect and preserve matters relative to archaeological research, and to present to the Society such questions as it may think proper, and to prepare re- plies to such inquiries as may from time to time be referred to it.

3. On Genealogy, of which the Historiographer shall be a member *^ ex-officioV The duties of this committee shall be to collect and preserve all matter germane to the Science of Genealogy, and to pre- sent to the Society such questions as it may think proper, and to prepare replies to such inquiries as may from time to time be referred to it.

4. On Library, of which the Librarian shall be a member ** ex-offi- ctoy The duties of this committee shall be to procure, with the funds placed at its disposal by the Society, such works as may be directed to be purchased, and to report from time to time what books it may con- sider desirable to be obtained for the Society. It shall also be its duty to collect all such books, papers, pamphlets, etc., as it may deem proper to be placed in the Library. It shall have power to make such sales and exchanges of duplicates and of works not germane to the objects of the Society as may be deemed desirable.

5. On Hall. The Hall Committee, of which the Recording Secre- tary shall be a member '* ex-officio,^^ shall have the general care of the Hall, and shall provide such conveniences as may be necessary for the accommodation of the officers and members of the Society. It shall be the duty of this committee to have the room opened in proper time for all stated or special meetings of the Society, or at other times when so directed by the Society.

6. On Publications. The duty of this committee shall be to take charge of the publication of the Proceedings of this Society, or .such other publications as the Society may from time to time direct.

7. On Finance, of which the Treasurer shall be a member ^^ ex- officio.'" The duties of this committee shall be to supervise the opera- tions of the Treasurer, and to examine and certify to the correctness of all bills, which shall be signed by at least two members of the com- mittee, previous to their being paid by the Society.

CHAPTER VI.

OF LIBRARY.

Article I. The Librarian shall take charge of all books and pam- phlets belonging to the Society, and shall report on the condition of the same annually at the stated meeting in January.

Article II. The Librarian shall make out two copies of a catalogue of all books and pamphlets belonging to the Society ; adding thereto the title in full of each one as received. When books are presented to the Society, the name of the donor shall be inserted in the catalogues, together with the date of the gift.

Article III. One of the catalogues so made out shall be open to the inspection of members, and the other shall be placed in the archives of the Society.

Article IV. Members of the Society alone shall have access to the Library, and may borrow, not exceeding one volume at a time, upon giving a receipt for the same to the Librarian in a book to be kept for the special purpose, containing also an obligation to be signed, to return the volume, uninjured, within thirty days.

Article V. The Librarian shall be responsible for all works com- mitted to his charge.

CHAPTER VII.

OF CABINET.

Article I. The Curators shall take charge of the Cabinets, together with all specimens that may, by donation or otherwise, come into the possession of the Society, and shall report on the condition of the Cab- inets annually at the stated meeting in January.

Article II. The Curators shall make out two copies of a catalogue of all specimens belonging to the Society, adding thereto a description of each specimen as received. When specimens are presented to the Society, the name of the donor shall be inserted in the catalogues, together with the date of the gift.

Article III. One of the catalogues so made out shall be open to the inspection of members, and the other shall be placed in the archives of the Society.

Article IV. No specimen belonging to the Society shall be loaned from the room under any pretence or for any purpose whatever, and no moulds or models of specimens shall be taken without the consent of the Society.

Article V. The Curators alone shall have liberty to open the Cab- inets, and shall be responsible for all articles committed to their charge.

Article VI. All specimens in the Cabinets must be properly label- led by the Curators, as far as practicable.

CHAPTER VIII.

OF MEETINGS.

Article I. The stated meetings of the Society shall be held on the first Thursday evening of the months of January, February, March, April, May, October, November, and December, at hours fixed from time to time by the Society.

Article II. Special meetings may be called by resolution of the Society, by public notice from the President, or at the request of three members in writing.

Article III. At a special meeting, after the minutes of the preced- ing meeting shall have been read, the meeting shall immediately proceed to the consideration of the business for which it was specially convened, and no other business shall be brought before the Society at such special meeting.

Article IV. The order of business at the stated meetings of the Society shall be :

1. List of members present noted.

2. New members presented to the Society, and visitors introduced.

3. Minutes of the last stated meeting, and of any intervening spe- cial meetings read.

4. Death of members announced and necrology read.

5. Numismatic and Antiquarian Communications :

Written. Verbal.

6. Donations to Library.

Donations to Cabinets. Deposits for Library. Deposits for Cabinets.

7. Antiquities and coins exhibited.

8. Reports of Committees.

Special, the oldest reporting first. Standing.

9. Visitors and strangers retire.

10. New business.

11. Unfinished business in order of seniority.

12. Nominations read.

13- Elections held.

14. Rough minutes read.

15. Society adjourned by the Chair.

Article V. Five members shall constitute a quorum.

CHAPTER IX.

MISCELLANEOUS.

Article I. In all such points of order as are not noticed in these By-Laws, the Society shall be governed by the established usages in similar institutions.

Article II. Every proposition to alter or amend these By-Laws shall be submitted in writing at one stated meeting, and may be balloted for at the next stated meeting, when, upon receiving the votes of two- thirds of the members present, it shall become a part of the By-Laws.

Article III. No one or more of these By-Laws shall be suspended.
