L Be it enacted hy the Senate and House of Represen- tatives of the Commonwealth of Pennsylvania in General As- sembly met, arid it is Thereby enacted by the authm'ity of the same, That the persons who now constitute the Philadelphia Society for Promoting Agriculture, or who shall hereafter be admitted members of the same, shall be, and hereby are declar- ed to be a body politic and corporate for the term of twenty years from and after the parsing of this act, by the name and style of -" The Philadelphia Society for Promoting Agri- culture," to feav>e succesfflon, to jiead and be impleaded, sue and be sued in all courts of record or elsewhere, and be capa- ble to take, hold and enjoy lands, tenements and hereditament?, goods and chattels, and the same from time to time to sell, grant, demise, alien and dispose of, to use a common seal ,and to alter or renew the same at pleasure : Provid&l, That the clear yearly value of the real estate by theiu held shall at no time exceed the sum of six thousand dollars. Sec. 2. A7id be it farther enacted by the authority aforesaid. That the officers of the said corporation shall consist of a Pre- sident, two Vice-Presidents, Treasurer, Secretary, and such other officers as the said corporation-may think necessary, who shall be elected annually or otherwise, as the rules and by-laws of the corporation may direct. Sec. 3. And be it farther enacted by the authority aforesaid, That the said corporation when convened, upon due notice given to the members by public advertisement or otherwise, shall have power and authority to make, ordain and establish, such and so many rules, by-laws and ordinances relating to the times of meeting, the admission of members, the powers and duties of the officers thereof, and the ordering of the other concerns of the sai^l corporation as they may deem necessary and proper : Provided, That no rule, by-law or ordinance as aforesaid, shall be valid if inconsistent with the constitution and laws of this State or of the United States. Sec. 4. And be it farther enacted by the authority aforesaid, That the present officers of the said Society shall continue in their respective stations until an election shall be made under this act, and the rules, by-laws and ordinances now in force, not inconsistent with the constitution and laws of this State or of the United States, shall be good and valid until altered, amended or abrogated by the corporation. Be it enacted by the Senate and House of lU- preventatives of the Commonwealth of Pennsylvania in Genet* nt Assembly met^ and it is hereby enacted by the nuthxyrily of the same, That the Philadelphia Society for the Promotion of Agriculture, shall receive annually from the county commis- sioners of Philadelphia county, out of the county tax assessed on the city and county of Philadelphia, the sum of fifty dollars for every member which the freemen of the said city and coun- ty are or shall be respectiv^ely entitled to elect to the house of i'epresentatives of this commonwealth for the purposes desig- nated in the act entitled " An Act for the Promotion of Agri- culture and Domestic Manufactures," and the said sums shall be paid to the Treasurer of the said Philadelphia Society, and noth- ing contained in the said act to which this is a supplement, shall be construed to alter or abolish the organisation of the said Philadelphia Society as at present incorporated, but all things directed by the said act to be done and performed in relation to the receipts, expenditures and application of the moneys di- rected to be paid to the Treasurer thereof, or any matters or things required consistently with the rules and regulations of the said Society as at present incorporated, shall be so done and performed by the officers, committees or persons appoint- ed by the said Society, agreeably to its present organisation, by-laws and rules, as fully and effectually as if done and per- formed by the Directors and other officers of Societies estab- lished by virtue of the act to which this is a supplement. Passed SQth March, 1821. No. 77. A Supplement to the Act entitled " An Act to Incorporate the Middleport and Pine Creek Rail Road Company," and for other purposes. Section 15. That the charter of the Philadelphia Society for Promoting Agriculture, shall be and tlie same is herel^y ex- tended and continued in force for the term of twenty years from the twenty-seventh day of March, Anno Domini one thou- sand eight hundred and thirty-nine. A Supplement to an act entitled " An Act for the organisa- tion of a new County from parts of Venango and Armstrong, to be called Clarion, passed the Uth day of March, 1839," and for other purposes. Section 9. That the act entitled an act supplementary to an act entitled an act for the Promotion of Agriculture and Do- mestic Manufactures, passed on the thirtieth day of March, eighteen hundred and twenty-one, be and the same is hereby revived for the term of five years from and after the passage of this act so far as respects the city and county of Philadelphia. Approved — The \6th day of April, 1840. BY-L.AWSa I.— NAME OF THE SOCIETY. The Society shall be styled, THE PHILADELPHIA SOCIE- TY FOR PROMOTING AGRICULTURE. II.— OBJECTS OF THE SOCIETY. The Society's attention shall be confined to agriculture and rural affairs. HI— OFFICERS AND MODES OF ELECTION. The Society shall have a President, and two Vice-Presidents, a Treasurer, two Curators, a Secretary and Assistant Secre- tary and Librarian, all of whom shall be annually elected by the tickets of a majority of the members present at the stated meeting of the Society in January ; the officers not then elect- ed may be chosen at any stated meeting thereafter on being nominated at a preceding meeting, and such intention shall be duly notified in a public newspaper and in a reasonable time before the meeting, at which a choice is to be made. The per- sons, so elected, to continue in office one year, and until others are chosen in their stead. In case of any vacancy, by death, resignation, or otherwise, the same may be supplied by a new election, to be made at any stated meeting of the Society, the I^erson thus newly elected to serve the remainder of ihe year. IV.— OF A QUORUM. A quorum for business shall consist of at least five members, including the President or Vice-President. v.— DUTY OF THE PRESIDENT, VICE-PRESIDliNT Ott CHAIRMAN. At all meetings of the Society the President shall exercise the usual duties of that office ; all motions shall be addressed to him, and on all questions he shall collect and declare the votes including his own ; he shall also have the power to call si)ecial meetings of the Society, but all special meetings and their objects shall be notified by the Secretary and published in two or more city newspapers, at least eight days before any special meetings shall take place ; in his absence the same du- ties shall be performed by a Vice-President ; and if it happen^ at any meeting of the Society, that the President and Vice-Pre- sidents be absent, the members present being a quorum to con- stitute a regular meeting for the business to be transacted, may choose a chairman for that meeting. VL— DUTY OF THE TREASURER. The Treasurer shall keep the accounts methodically statedj in the books of the Society, and when called upon, produce them for inspection. At the last meeting of every year, and also when his office ends, he shall produce a fair and regular ac- count of all receipts, payments and expenditures : and deliver it, together with those books and all other property of the So- ciety, in his hands, to his successor in office, or to the order of the Society. VII.— DUTY OF THE CURATORS. The Curators are to take charge and care of all property and articles belonging to the Society, the books and papers ex- cepted, \vh:ch are to remain in charge of the Secretary : the Library to be under the care of the Librarian, who is to assist the Curators in everything in which his aid is required. The Curators are to take measures from time to time, for collect » ing all native fossils and earthly substances proper for mr.» nures, or deemed to be so, and to cause or procure the same to be analysed, and report to the Society the result. They are also to procure experiments to be made by careful agricultur- alists, of any such fossils, earths or substances, and to promote in every practicable way explorations, for the discovery of na- tive substances, either known or presumed to be manures or auxiliaries in fertilising land. They are also to keep minutes of their proceedings, to collect models of the best agricultural instruments, and report their usefulness and properties, and cause such models to be deposited in the apartments of the 8 ^c^ciety ; they are to recommend to the Society from time to lime the offering of premiums, for any discovery or experi- ment on the foregoing subjects, and to examine into the merits of all claims for premiums and report their opinion thereon, when the Society do not think proper to appoint special com- mittees for that purpose. VIII.— DUTY OF THE SECRETARY. The Secretary and his assistant shall have in charge all books and papers of the Society, and keep the same in exact order ; they shall register all letters which shall be written by the committee of correspondence, or by themselves, by order of the committee. IX.— COMMITTEE OF CORRESPONDENCE AND ACCOUNTS, At the annual meeting of the Society in January, shall be chosen a committee of correspondence, to consist of two mem- bers, for the purpose of corresponding with any other Society, or persons, touching the objects which this Society has in view. The same members shall also be a committee of accounts, to receive and adjust all claims against the Society, and their cer. tificate shall authorise the President or a Vice-Pi-esident, to issue orders on the Treasurer for the payment of them, but nothing herein contained shall preclude tlie right of the Society to pass or refer any account at a regular meeting. X.— TIME OF STATED MEETINGS. The stated meetings of the Society shall be held the first Wednesday of every month, at eleven o'clock, A. M. XI.-^OF RESIDENT AND HONORARY MEMBERS. The members of the Society shall be distinguished into resi^ dent, honorary, and contributing members. Resident members shall consist of members residing within a convenient distance to attend the meetings of the Society in Philadelphia. All mem- bers of agricultural societies in other States and counties, with whom this Society shall correspond, and all persons of this State, and of other States and counties, who shall be elected for the purpose, shall be honorary members ^ and are hereb}^ invited to assist at the meetings, whenever they come to Phi- ladelphia. Strangers who desire to be present, as auditors, may be introduced by a resident member. Honorary contri- buting members are of the description hereafter mentioned. XII.— HONORARY CONTRIBUTING MEMBERS. Every citizen contributing and paying into the hands of the 9 Treasurer, a sum not less than fifty dollars, may be elected agreeably to the rules, an honorary member; those who thus laudably enable the Society to extend its usefulness and pro- mote its objects, are invited to assist at its meetings : they will be styled honorary contributing members. XIII.— OF DONATIONS AND BEQUESTS. All donations and bequests for general purposes, shall be faithfully used, and regular accounts kept of their applications. Such donations or bequests as are given, granted, made or de- vised, on terms directing their being used in, or applied to, any particular purpose, shall with all due fidelity be so used or ap- plied, and if they, or any of them, shall not be at the time suffi- cient to accomplish the object designated, in whole or in part, they and every of them shall be placed in a situation (if practi- cable) to accumulate until by addition of other means, the ob- jects intended can be effectuated. The names, amount, and de- scription, of donations of all citizens, contributing pecuniary or other donations of any amount or description whatever, shall be registered in a roll, kept for that special purpose. They well merit and receive the thanks of the Society, for the patrio- tism and public spirit evinced by their thus affording the means of accomplishing the objects of the institution. XIV.— ELECTION OF MEMBERS. New members, whether resident or honorary, shall be elect- ed by ballot, and the Secretary shall issue notices to each per- son of his being elected to the following purport : Tl e Phila- delphia Society for Promoting Agriculture, have elected a resident or honorary member, in testimony of their confi- dence in his capacity and inclination to promote the objects of their Institution. XV.— ELECTIONS OF MEMBERS AND OFFICERS. All elections and appointments, except of the officers of the Society, shall take place at one of the stated meetings of the Society, and no person shall be elected a member, whether re- sident or honorary, unless at a preceding stated meeting, he shall have been openly proposed, and such nomination duly entered on the minutes of the Society ; the nomination and election to be in the absence of the candidate. The officers of the Society shall be elected at the annual meetings of the So- ciety, in each year, between the hours of twelve o'clock at noon, and two o'clock, P. M. ; or in case no election is then made, then at such time thereafter as they may appoint. No 10 member shall be allowed to vote at the annual meeting, unless his arrearages of subscription due the Society be previously- paid. XVI.— OF PREIMIUMS. The Society shall annually, or at any stated meeting, pro- pose prizes upon interesting subjects relative to actual experi- ments and improvements, and for the best pieces written on proposed subjects ; and in order more effectually to disseminate the knowledge of useful discoveries and improvements in hus- bandry, the Society will from time to time, publish collections of memoirs and observations, selected from such communica- tions as shall be made to them. To promote these views, the friends of agriculture are invited to assist the Society with in- formation of experiments, and incidents in husbandry, XVII.— CONDITIONS OF PREMIUMS AND RULE FOR THEIR ADJUDICATION. All claims of prizes shall be sent in writing ; and when read, the Society shall determine which of the claims, relative to each prize, shall be selected for their definite judgment, on a future comparison. This judgment is to be given at the sta- ted meeting on the third Tuesday in February, or at any other stated meeting; but previously to such determination^ all such claims shall be submitted to, and reported upon by the Cura- tors. If it happen, in any case, that there be no competition for a prize, but only a single claim, the Society will consider such claim; and if the claim or claims be supported answera- bly to their views and just expectations of the Society, the prize proposed shall be decreed. Prizes and premiums are equally due to any persons residing in any of the United States, ac- cording to the merit of their resj^ective exhibitions. XVIIL— OF ANNUAL PAYMENTS. For the purpose of defraying the necessary expenses of the Society, for premiums and prizes, books on agriculture, im- proved implements of husbandry, and other important objects and contingencies, every member shall annually pay to the Treasurer a contribution of four dollars. All annual contri- butions shall be considered payable on or before the stated meeting in June of each year; members elected at or before that period shall contribute four dollars, and those elected subsequently shall pay two dollars for the current year termi- nating on the 3 1st of Decemlx'r. XIX.— CHANGE OF RESIDENCE OF MEMBERS. If any resident member shall remove beyond the limits pre- 11 scribed, he shall not in virtue of his resident membership, be eligible as a candidate for honorary membership, without be- ing regularly proposed as such. XX.— OF LIFE SUBSCRIPTION. Any member paying thirty dollars shall be considered a member for life, and shall not be called on for any farther an- nual payments. XXI.—OF MEMBERS IN DEFAULT. At the first meeting in January, of every year, the Treasurer shall lay before the Society a list of the members, specifying who have, and who have not paid their contributions, and any member whose contributions shall be found to be more than two years in arrears, after the same shall have become due, and payable aforesaid, provided payment thereof has been per- sonally demanded of him by the Treasurer, or collector author- ised by him for the purpose, such member shall be considered as withdrawing from the Society, and be no longer deemed a member of it, and the same shall be entered on the minutes. XXII.— OF NEW RULES. New rules or alterations to be made in old rules, except at the annual meeting in January, shall be proposed and the pro- posal entered on the minutes, at a preceding stated meeting, and may then be made by not less than two-thirds of the mem- bers present. XXIII.— OF DISPOSITION OF THE FUNDS When any part of the Society's funds is to be disposed of excepting at the annual meeting or for ordinary contingent ex- penses, the same shall be done at a stated meeting, or special one, after having been proposed at a previous stated meeting. XXIV. Still farther to advance the objects of this institution, the Society will promote the establishment of other similar Socie- ties in the United States. M. and one, P. M. ; and in case no election is then made, then at such stated or special meeting thereafter, as may be duly appointed : Provided, That no person shall be elected an officer of this Society unless nomi- nated at a preceding meeting. The persons so elected to con- tinue in office until the next annual election, and until others are chosen in their stead. In the absence of the President, a Vice President shall preside; and in the absence of the President and Vice Presidents, a chairman for that meet- ing shall be appointed. VI.— DUTY OF THE TREASURER. He shall receive all moneys belonging to the Society, and pay all drafts ordered by the Society, signed by the President or presiding officer at any stated meeting, except in the pay- ment of premiums ordered to be awarded at any of the exhibi- tions of the Society, which shall be made directly by the Trea- surer. He shall keep the accounts methodically stated, in the books of the Society, and when called upon produce them for inspection. At the last meeting of every year, and also when his office ends, he shall produce a fair and regular account of all receipts, payments and expenditures ; which, together with those books and moneys and other property in his hands, he shall deliver to his successor in office, or to the order of the Society. VIL— DUTY OF THE RECORDING SECRETARY. The Recording Secretary shall keep fair minutes of the pro- ceedings of the Society in a book provided him for that pur- pose, and shall prepare a sketch of the proceedings of the stated and special meetings for publication in the newspapers, when any thing of interest shall transpire. He shall furnish a copy of any resolution or motion entered upon the minutes, when requested by any member or committee ; he shall notify the members of all special meetings, and new members as well as such officers who may not be present at the annual meeting, of their election. He shall also have in charge all books and pa- pers of the Society, belonging to his office, and shall attend the room of the Society on the first Wednesday in every month, between the hours of eleven and one. VIII.—DUTY OF THE ASSISTANT RECORDING SECRETARY. The Assistant Recording Secretary shall perform the duties of the Recording Secretary in his absence, and shall also notify the members, by written or printed notices, of all the stated meetings of the Society, at least one week belore the time of meeting', also, have said notice inserted in at least two daily newspapers in the city of Philadelphia. IX.— DUTY OF THE CORRESPONDING SECRETARY. The Corresponding Secretary shall conduct the correspond- ence of the Society with other Societies or individuals, except in cases where a special committee shall be appointed for that purpose, and shall furnish the Recording Secretary with a minute of his correspondence. X.— DUTY OF THE CURATORS. The Curators are to take charge and care of all property and articles belonging to the Society, the books and papers of the Secretary and Treasurer excepted. They are to take measures, from time to time, for collecting all native fossils and earthy substances proper for manure, or deemed to be so, and to cause or procure the same to be analysed, and report to the Society the result. They are also to procure experiments to be made by careful agriculturists, of any such fossils, earth or substances, and to promote in every practicable way explorations, for the discovery of native substances, either known or presumed to be auxiliaries in fertilizing land. They are also to keep minutes of their proceedings, to collect models of the best agricultural implements, and report their usefulness and properties, and to cause such models to be deposited in the apartments of the So- ciety ; they are also to recommend, from time to time, the offering of premiums for any discovery or experiment on the foregoing subjects. XI.— TIME OF STATED MEETINGS. The stated meetings of the Societ}" shall be held on the first Wednesday of every month, at 11 o'clock, A. M. XII.— OF MEMBERS. The members of the Society shall be distinguished as resi- dent, honorary and life members. Resident members shall consist of those residing within a convenient distance to at- tend the meetings of the Society in Philadelphia. All mem- bers of Agricultural Societies in other Slates and counties, with whom this Society shall correspond, and all persons of this State and other States and counties, who shall be elected for the purpose, shall be honorary members, and are hereby invited to attend the meetings of the Society whenever they can make it convenient. Any member paying twenty dollars shall be considered a member for life, and shall not be called on for any further payments. Strangers Avho desire to be pre- sent at any of the meetings of the Society, may be introduced by a member. XIII.— OF DONATIONS AND BEQUESTS. All donations and bequests made to the Society, for general purposes, shall be faithfully applied; and all donations and bequests as shall be given, granted, made or devised for any particular purpose, shall, with all due fidelity, be so used and applied. The names, amount, and description of all donations^ shall be registered in a roll kept for that purpose. XIV.— ELECTION OF MEMBERS. New members, whether resident or honorary, shall be elected by the ballots of a majority of those present at a stated meeting, having at a preceding meeting been openly nominated, and such nomination entered upon the minutes of the Society ; the nomination and election to be made in the absence of the can- didate. XV.— OF PRExMIUMS FOR ESSAYS, &c. The Society may, from time to time, propose prizes for essays, &c., upon interesting subjects connected with the ob- jects of the institution. XVL— OF EXHIBITIONS. The Society may, at its discretion, hold exhibitions of stock, produce, implements, &c., award prizes or certificates of merit to such stock, produce, implements, &c., as may be deemed worthy of distinction •, and generally make such provision and arrange- ment as may carry out these important objects of the Society. XVII.— OF AN AUXILIARY CLUB. The Society may authorise the formation of a farmer's club out of such portion of its active members as may see fit to unite in promoting its designs, to be auxiliary to the objects and in- terests of the Society, to which it shall make an annual report of its proceedings. Its meetings shall be monthly or semi- monthly, and held at the respective residences of the members or elsewhere. Its officers shall be such as the club may deem necessary. XVIIL-OF ANNUAL PAYMENTS. For the purpose of defraying the necessary expenses of the Society, every resident member, except the editors of the news- paper press, shall annually pay to the Treasurer the sum of three dollars ; and all such subscriptions shall be considered payable on or before the stated meeting in July of each year, the year dating from the annual meeting in January. Members elected during the year to pay the proportion of the year unexpired. 10 XIX— ELIGIBILITY OF PRESIDENT. No person shall be eligible to the office of President for a longer term than two successive years. XX.— OF NEW RULES. New rules or alterations to be made in old rules, except at the annual meeting in January, shall be proposed, and the pro- posal entered upon the minutes, at a precedmg stated meeting, and may then be made by not less than two-thirds of the mem- bers present. Discussion of Questions. XXII.— OTHER BY-LAWS AND RESOLUTIONS. All other By-Laws and Resolutions, inconsistent with the foregoing By-Laws, are hereby repealed. RESOLUTIONS. 1. Resolved, That the salary of the Recording Secretary be one hundred and twenty-five dollars per annum ; and that he be required to keep open the room of the Society every Wed-* nesday between the hours of eleven and one. 2. Resolved, That the Committee of Ten be authorised and requested to report to the Society some suitable location or locations, as a permanent exhibition ground, as ^vell as the most favorable terms on which the same may be obtained. 3. Resolved, That the management of the public exhibitions of the Society shall be conducted by a committee consisting of nine active members, the President always beingone, who shall be called a Committee of Arrangement, and which shall be or- ganised at any regular meeting of a majority of its members, by the appointment of a Chairman and Secretary, and also a Din- ner Committee. The Secretary shall keep a true record of the proceedings of the Committee, and shall attend at the ground during an exhibition, and record in a book provided for the pur- pose, separately and respectively, all stock, implements and 11 produce, entered for premium or exhibition, with the name, age, and breed of the stock, and the name and residence of the owner ; also, a catalogue of all implements and produce, as well as of all other articles embraced in the premium list, that may be oiFered, with the name and residence of the owner as afore- said. Each member of the Committee shall wear a distinguish- ing badge, in order to facilitate the business of tho exhibitions. 4. Resolved, That the Committee of Arrangement shall pre- pare f(jr publication in the newspapers, at the earliest practicable period after an exhibition, an official report of the proceedings of such exhibition, properly authenticated, giving the name and residence of each contributor, and stating the object or objects, article or articles, that he shall have contributed, which shall precede the reports of the different committees incident to an exhibition — a copy of which official proceedings shall be ten- dered for publication in such newspapers as the Committee of Arrangement may deem proper, at such time that they may appear in all simultaneously. 5. Resolved, That the premiums hereafter awarded by the Society, shall be distributed to the successful competitors, as far as practicable, on the exhibition ground, at such time during an exhibition as the Committee of Arrangement shall appoint ; and each award shall be accompanied with a certificate of such award, signed by the President of the Society, and attested hy the Recording Secretary. 6. Resolved, That the Committee of Arrangement shall be required to make, at the next stated meeting of the Society after an exhibition, a general report of its proceedings, except in the matter of the contingent receipts and expenditures, which shall be in detail. 7. Resolved, That hereafter the price of admission to the public exhibitions of the Society, shall be fixed by the Commit- tee of Arrangement. 8. Resolved, That as soon as a time shall be fixed on for an exhibition, the President shall appoint Township Committees in every township represented in the Society, whose duty it shall be to use their personal efforts in multiplying the contri- butions to said exhibition. 9. Resolved, That at each stated meeting of the Society, there shall be at least one subject, connected with practical agriculture, discussed by the members — each subject shall be proposed at a preceding meeting, and shall take precedence in the order of their proposal by the members, and the Recording or Assistant Recording Secretary shall give notice in the newspapers of the same.
