AN ACT TO INCORPORATE

Approved March 23, 1831.

Amended March 21, 1865.

WHEREAS, a number of persons have associated for the purpose of promoting
and encouraging horticulture, by improving the growth of vegetables, plants, trees,
fruits and flowers, and of introducing into our country new varieties and species,
and the said persons are desirous of becoming incorporated ; therefore,

Section 1. Be it enacted by the Senate and House of Representatives of the
Commonwealth of Pennsylvania in General Assembly met, and it is hereby enacted
by the aiitliority of the same. That the persons who now constitute THE PENN-
SYLVANIA HORTICULTURAL SOCIETY, or who shall hereafter be admitted
members of the same, shall be and hereby are declared to be a body politic and
corporate, by the name and style of "THE PENNSYLVANIA HORTICUL-
TURAL SOCIETY," to have succession, to plead and be impleaded, sue and be
sued in all courts of record or elsewhere; and be capable to take, hold and enjoy
lands within the State of Pennsylvania, and tenements and hereditaments, goods and
chattels, and the same from time to time to sell, grant, demise, alien and dispose of ;
to use a common seal, and to alter or renew the same at pleasure : Provided, That
the clear value of the real estate held by them shall at no time exceed the sum of
two hundred thousand dollars : And provided further. That said Society shall not
sell any seeds or plants, except those which shall be of new varieties and species
imported by said Society.

Sect. 2. .hid be it further enacted by the oulhorily aforesaid, That the officers
of the said corporation shall be such as the said corporation may think necessary,
who shall be elected annually or otherwise, as the rules and by-laws of the corijoration
may direct.

Sect. 3. And be it further enacted by the authorily aforesaid, That the said
corporation, when convened upon due notice given to tlie memliers by public adver-
tisement or otherwise, shall have power and authority to make, ordain and establish
such and so many rules, by-laws and ordinances, relating to the times of meeting,

the admission of members, the powers and duties of the officers thereof, and the
ordering of the other concerns of the said corporation, as they may deem necessary
and proper : Provided, That no rule, by-law or ordinance, as aforesaid, shall be
valid, if inconsistent with the Constitution and laws of this State or of the United
States.

Sect. 4. And be it further enacted l)y the aiiihorily aforesaid, That the present
officers of the said Society shall continue in their respective stations until an election
shall be made under this Act, and the rules, by-laws and ordinances now in force,
not inconsistent with the Constitution and laws of this State or of the United States,
shall be good and valid until altered, amended or abrogated by the corporation.

Sect. 5. And be it further enacted by the authority aforesaid. That the Legis-
lature reserves the right of altering, repealing or revoking the privileges hereby
granted.

Pennsylvania at the present session and returned by the Governor approved and

A Supplement to the above Charter was passed by the Legislature of Pennsyl-
vania, and approved by Governor A. G. Curtin, April 11, 1866, as follows:

That THE PENNSYLVANIA HORTICULTURAL SOCIETY is hereby
authorized and empowered to purchase and hold in fee simple any lot or lots in the
city of Philadelphia, not to exceed in the aggregate value thereof at the time of
purchase the sum of sixty thousand dollars, and to execute any ground rent or other
deed or deeds necessary or proper in securing the title to the said lot or lots, or
to mortgage the saine, and to erect and build upon said premises such buildings as
may be required for the purposes of the said Society.

I hereby certify that the above Charter as amended March 21, 1865, and the
supplement of April 11, 1866, are correct and true copies, as appearing upon the
records of THE PENNSYLVANIA HORTICULTURAL SOCIETY.

The supplement or amendment of March 21, 1865, and the supplement of April
11, 1866, both worded in full as passed by the Legislature of Pennsylvania and signed
by the officials of the Legislature, are on file in the office of THE PENNSYL-

OFFICERS

The officers of the Societj^ shall be a President, two Vice-Presidents, a Secretary
and a Treasurer.

II
PRESIDENT

1. The President, or in his absence one of the Vice-Presidents, shall preside at
the meetings of the Society and the Executive Council. The President, ex officio,
shall be a member of all committees. He shall have general direction of all the
activities of the Society and shall in every way seek to promote the interests and
extend the usefulness of the Society.

2. He shall submit to the Executive Council at the January meeting a general
report of the affairs of the Society.

Ill
VICE-PRESIDENTS
In the absence of the President, his duties shall be performed by the Vice-
Presidents in the order of their seniority.

IV
TREASURER
The Treasurer shall collect all dues and other income and shall keep the accounts
of the Society, disburse its money, and report thereon at the regular meeting of the
Executive Council in January. He shall deposit the funds of the Society in such
Bank or Trust Company as the Executive Council shall designate. All payments
shall be made by check. He shall pay bills only upon the approval of the Chairman
of the Committee authorizing the purchase or contract. He shall, with the approval
of the President or one of the Vice-Presidents, have authority to borrow money in
order to provide funds for the legitimate expenses of the Society or when in his
judgment it is for the best interests of the Society so to do. He shall furnish a
bond in such amount as the Executive Council may determine, the premium for which
shall be paid by the Society, and the Bond shall at all times be in the custody of the
President.

V

SECRETARY

1. The Secretary shall give notice of all meetings of the Society and of the
Executive Council aiid shall keep minutes of such meetings. He shall conduct the
correspondence and keep the records of the Society. He shall be the keeper of the
seal oi the Society. He shall notify persons elected to membership of their election.
He shall send by mail to each member of the Executive Council at least seven days'
notice of each stated meeting. He shall perform such' other duties as may from
time to time be assigned to him by the Executive Council.

2. The Secretary may, if the Executive Council so directs, act as Assistant
Treasurer, performing such duties as the Treasurer may delegate to him, with the
approval of the Executive Council. As Assistant Treasurer, he shall furnish a bond
in such amount as the Executive Council may determine, the premium for which
shall be paid by the Society, and the Bond shall at all times be in the custody of the
President.

3. The Secretary may be paid a monthly salary, to be determined by the Execu-
tive Council. This salary may be increased or decreased by the Executive Council
at any regular meeting.

4. In the absence of the Secretary at any meeting the President or presiding
officer shall appoint a Secretary pro tempore.

VI
EXECUTIVE COUNCIL

1. The Executive Council shall consist of twenty-one members. It shall have
general charge of the affairs, funds and property of the Society, and shall have
authority to designate the person or persons who may make contracts or purchases
for the Society. It shall have full power, and it shall be the duty of its members,
to carry out the purposes of the Society according to its Charter and By-Laws.

2. The Executive Council shall, as soon as may be, after each Annual Meeting
elect from its own body a President, two Vice-Presidents, a Secretary and a Treas-
urer, who shall hold office for one year from the first day of the succeeding January,
or until their successors are elected.

3. The Executive Council shall meet once a month, except during the months of
June, July and August, and Special Meetings may be called by order of the President.
Seven members shall constitute a quorum of the Executive Council.

4. The Executive Council shall have power to elect annual members, life
members and honorary members.

5. The Executive Council may fill any vacancy in its body by election of a
member of the Society to hold office until the next Annual Election.

6. Any member of the Executive Council or of any Standing Committee who
shall be absent from three consecutive meetings shall cease to be a member of the
Council or the Standing Committee, unless a satisfactory reason be offered to the
Council or the Committee for such absence.

VII
MEETINGS

1. There shall be an Annual Meeting of the Society on the third Wednesday of
November in each year. Special meetings of the Society may be called by the Secre-
tary upon order of the President, or of any five members of the Executive Council
or upon request of fifteen members of the Society. At each Annual Meeting there
shall be elected seven members of the Executive Council to serve for three years,
and at such Annual Meeting any vacancy in the Executive Council shall be filled by
the election of a member to serve the unexpired term.

2. Officers and members of the Executive Council shall hold office during the
term for which they are elected and until their successors are chosen.

3. Ten members shall constitute a quorum at any meeting of the Society.

VIII

NOMINATIONS AND ELECTIONS

1. As soon as may be after the September meeting of the Executive Council
in each year a Nomination Committee, consisting, ex officio, of the members of the
Executive Council who have more than one year but less than two years to
serve as such members, shall nominate candidates for all the offices which ar§ to be
filled by election for the coming year. The Committee shall file its nominations with
the Secretary before the first day of October, and the Secretary shall, on receiving
them, cause the nominations to be published in "Horticulture" at least thirty days
previous to the Annual Meeting. Additional nominations may be made in writing by
fifteen or more members of the Society. They shall be addressed to the Secretary
and mailed prior to the first day of November.

2. If no nominations are made in addition to those submitted by the Nominating
Committee an election by ballot will not be necessary, and the Executive Council
shall, by motion, elect the candidates nominated by the Committee.

If additional nominations are received, the Secretary shall cause ballots to be
printed containing the names of all the candidates, and shall mail them to every
member of the Society as soon after November 1st as possible.

3. Members shall vote by placing an "X" opposite the names selected. To
secure secrecy in the election, the ballots shall be provided with inner and outer
envelopes. The member, after marking his ballot, shall enclose and seal it in the
inner envelope. The latter should then be enclosed and sealed in the outer envelope,
on which the member shall sign his name, after which it should be mailed to the
Election Committee. If the member's signature is omitted on the outer envelope, or
if more names are marked than required, the vote shall be disqualified.

4. The President or presiding officer shall appoint an Election Committee of
three to receive, assort and count the ballots cast, and to report the result to the
Secretary. A plurality shall elect, and the President or presiding officer shall declare
who are elected. Voting by proxy shall not be allowed at any meeting.

IX

HONORARY OFFICERS AND MEMBERS

1. Honorary Vice-Presidents may be elected by the Executive Council at any
regular meeting. This honor is reserved for persons who have served the Society as
officers or members of its Executive Council.

2. Honorary Members may be elected by the Executive Council at any regular
meeting. This honor is reserved for persons of pre-eminence in horticulture and
kindred sciences, and signifies the high regard in which they are held. No dues are
required from Honorary Members. They shall not be permitted to vote or hold office.

X

RESIGNATIONS

1. Resignations of membership shall be made to the Secretary in writing.

2. Resignations shall not be accepted until all indebtedness to the Society of the.
member resigning shall have been discharged.

XI
DUES

1. The dues of all annual members shall be three dol<<cs, payable on January
1st in each year, in advance. If such dues are not paid on the first day of November
thereafter, such members shall cease to be members of the Society.

2. Candidates elected, on payment of the dues for the current year, shall become
members of the Society, and the election of any candidate shall be void if he fails
to make such payment within thirty days after notice of his election is made, addressed
to him at the place given as his residence in his application for membership.

3. Any person may be elected a Life Member upon the payment of fifty dollars.

4. All moneys received from Life Membership dues shall be treated as a trust
fund in perpetuity. The income only from this fund shall be used by the Society.

XII
SUSPENSIONS OR EXPULSION
Any member may be suspended or expelled for cause by vote of three-fifths of
all of the members of the Executive Council, fifteen days' previous notice in writing
having been given to the member of the charges preferred against him. Any action
under this Article may be revoked or modified by subsequent vote of the Executive
Council.

XIII
STANDING COMMITTEES

1. There shall be six Standing Committees, to be known as the Executive Com-
mittee, the Finance Committee, the Library Committee, the Lecture Committee, the
Garden Committee and the Exhibition Committee.

2. The President, as soon as may be after the first of the year, shall appoint
the members of all Standing Committees, with the approval of the Executive Council.
The Chairman of each Committee must be a member of the Council, but other
members may be drawn from the Society. They shall hold office for one year from

appointment and until their successors are appointed. All vacancies in such Com-
mittees shall be filled by the President and Executive Council, or during its recess
by the Executive Committee. Each Committee shall have power to fix its own
quorum.

3. The Executive Committee shall consist of not more than five members. It
shall be its duty, subject to the control of the Executive Council, to order purchases,
to regulate salaries and wages (except the Secretary's salary), to receive complaints,
to redress grievances, to appoint and dismiss employees, to manage the Society's
Rooms and to perform such other similar duties as may from time to time be assigned
to it by the Executive Council. During the recess of the Executive Council the
Executive Committee shall be vested with all the powers of the Executive Council so
far as the same can be legally delegated, but it shall be its duty to exercise such
powers only whenever immediate action is required.

4. The Finance Committee shall consist of three or more members, of which
the Treasurer shall be one. It shall be its duty, subject to the control of the Execu-
tive Council, to supervise the finances and investments of the Society, to annually
make a budget setting forth the estimated receipts and expenses of the Society for
the ensuing year, commencing on the first day of January, and to present such budget
to the Executive Council for consideration at its January meeting. It shall be its
duty to engage a Certified Public Accountant or Accountants annually to audit the
Society's accounts. It shall report to the Executive Council the accounts audited and
allowed since its previous report, and perform such other similar duties as may from
time to time be assigned to it by the Executive Council.

5. The Library Committee shall consist of five or more members. It shall be
its duty, subject to the control of the Executive Council, to regulate the use of the
Library, the Reading Room, and of all the books, periodicals, newspapers, etc., to
purchase books and periodicals, and to perform such other similar duties as may from
time to time be assigned to it by the Executive Council.

6. The Lecture Committee shall consist of not more than three members. It
shall be its duty, subject to the control of the Executive Council, to prepare a list
of lectures to be delivered during the year, to make arrangements with the lecturers,
to supervise the arrangements for the delivery of the lectures, and to perform such
other similar duties as may from time to time be assigned to it by the Executive
Council.

7. The Garden Committee shall consist of not more than five members. It shall
be the duty of this Committee to consider plans for the development and promotion
of the horticultural purposes of the Society and, subject to and with the approval of
the Executive Council, to carry out such plans and to perform such other similar
duties as may from time to time be assigned to it by the Executive Council.

8. The Exhibition Committee shall consist of five or more members. It shall
be its duty, subject to the control of the Executive Council, to organize and super-
vise all of the Society's Exhibitions. It shall determine dates of Exhibitions and
places where they shall be held, which, however, shall be subject to the approval of
the Executive Council. It may contract for printing and advertising in connection
with the Shows, the cost of which shall not exceed an amount appropriated for such
purpose by the Executive Council. It shall appoint all Judges, arrange for their
reception and entertainment, and perform such other similar duties as may from time
to time be assigned to it by the Executive Council.

XIV
RULES AND AMENDMENTS

1. The rules contained in "Robert's Rules of Order Revised" shall govern the
Society in all cases to which they are applicable and in which they are not incon-
sistent with these By-Laws.

2. These By-Laws may be amended by the Executive Council at any regular
or special meeting by the affirmative vote of a majority of the entire membership
of the Executive Council, provided a notice of the proposed amendments has been
sent to the members of the Executive Council with the notice for the meeting; or
they may be amended if proposed at an annual or special meeting of the Society and
recommended by a majority vote of those present, when submitted by letter ballot to
the members, a two-thirds favorable vote of the ballots cast being required.

President's Report to the Executive Council
January 16, 1929

It is my pleasant duty to give you at this time a brief report of the activities
of your Society during 1928 — also some suggestions for the new year just started,
which, you know, is our hundred and second.

The growth in membership during the past year has been very satisfactory.
January 1, 1928, we had 1,344 members, and on the first day of this month we had
1,712, which is the largest gain the Society has ever had in a single year. A year ago
we had 83 Life Members. We have added 19 to this number during the year and
lost 3, making a total Life Membership of 99, January 1, 1929.

The rooms of the Society have really become a horticultural center, and the
Council Room was used for 120 meetings during the year. Following are some of the
associations and committees that have met in this room: Committees of Garden
Clubs, Philadelphia Flower Show, Inc., Keystone Branch of the Woman's National
Farm and Garden Association, Wholesale Florists' Association, American Iris Society,
American Peony Society, John Bartram Association, School of Horticulture for
Women, and United Horticulture.

The use of the Library has increased and many accessions have been made, both
l)y purchase and gifts. The principal gift during the year was made by Mrs. Horace
M. Potts, of Mount Airy, who presented Lowe's "Ferns, British and Exotic," in
eight volumes. The thanks of the Society have been conveyed to Mrs. Potts and
other donors over the signature of the Secretary. A large number of periodicals
have been bound and placed on the shelves in convenient form for reference.

The lectures have had only a fair attendance, the first and last lectures having
about 125 persons each and the second about 300. The acoustics in the Auditorium
Jiave been greatly improved during the summer by the Insurance Company of North
America. An interesting schedule has been prepared for this season.

The Philadelphia Flower Show, which was held in the Commercial Museum in
March and in which we co-operated with the Florists' Club of Philadelphia, was
■even more satisfactory than any of its predecessors. The decorations in the hall were
more attractive than ever before; the exhibits were of better quality than in any
previous year, and, with pleasant weather, the attendance was greater than ever.
This Society exhibited a garden of one hundred years ago to commemorate its
Centennial Anniversary. Our booth was attractive and lOO new members were
secured during the Show. The admission price was advanced to 75 cents and 62,230
persons attended. It is proposed to hold another Show in the same place this year,
from March 11th to 16th, inclusive.

Our own exhibitions have liad very poor attendance, and exhibitors have com-
plained about going to considerable trouble and expense and then having few people
come to see what they had grown and shown. The Exhibition Committee is not
at all satisfied with the present arrangements. Cuthbert Street is closed, and access
to the freight elevator can be had only from the Arch Street doors across the hall.
There is no parking space for motor cars near this door. I have searched the city

very thoroughly for a hall that we might use for exhibitions this year, but with no
success whatever. Several places in Fairmount Park have been proposed by the
Garden Clubs, but the expense of policing an exhibition in most of these localities is
very great. Exhibitions in the Park would require watchmen day and night, and a
number of them. A tent on the plot of ground bounded by Race Street, Twenty-
second Street and the Parkway has been proposed, and we have asked the Commis-
sioners of Fairmount Park if it is available. No reply has been received yet, but in
any event it is not very desirable on account of the heat under a tent in June and the
possibility of a thunderstorm. The best place we have ever had was Memorial Hall
in Fairmount Park, and we hope that before long this will be available again.

We undertook two Spring Shows — May 22d and June 12th. Each Show was
open for only one day. At the first there were only 162 paid admissions and at the
second there were 256 paid admissions. The attendance at neither Show was satis-
factory, although the weather was favorable and the quality of the flowers shown
exceedingly good.

Our Dahlia Show, October 2d and 3d, had 637 paid admissions. The quality o£
the Show was very good, but the attendance not what it should have been.

The Hardy Chrysanthemum Show had an attendance of 221. This Show was.
free. At the others there was an admission charge.

The first Spring Show was held in the Auditorium and the other three Shows,
on the sixth floor of this building.

The Schaffer Memorial Cup, which was offered to the exhibitor receiving the
greatest number of points for flowers at all the exhibitions during the year, was
awarded again to Mr. Samuel M. Vauclain. Our Gold Aledal was given to the
Horticultural Society of New York, and was awarded at their Fall Show to Mrs.
Redmond Cross for the best chrysanthemum exhibit. Garden Club Plaquettes were
given to and awarded by the Art League of Conshohocken, The Bala-Cynwyd Garden
Club, the Bloomfield Floral Society, The Camden Dahlia Society, Cranford Horti-
cultural Society, Doylestown Nature Club, The Garden Club of Westfield, Kennedy
Unit — Woman's National Farm and Garden Association, Suburban Horticultural
Society, Wilmington Garden Club, The Woman's Club of Wayne, Woodridge Garden.
Club, arid The Worcester Flower Show.

The Society's Special Gold Medal was awarded to Thomas Roland, of Nahant,.
Mass., for "the most beautiful exhibit" at the Third National Exhibition of the
American Orchid Society, in New York, on May 10th. A Gold Medal was also
awarded to Miss Mary Moore, of Cambridge, Mass., for her bronze "Shell Bird
Bath." This Medal was given by the Society to The Art Alliance of Philadelphia,
and was awarded at the Fifth Spring Exhibition of Sculpture-in-the-Open-Air for
"the best small piece of sculpture suitable for garden, conservatory or for use with,
flowers indoors." The Exhibition was held in Rittenhouse Square in May, 1928.

The Society co-operated in the movement for "Flowers for Flowerless Philadel-
phia," sponsored by The Art Alliance. Mrs. Charles F. Derby represented this.
Society and served at the flower booth at Broad Street Station on Thursday morn-
ings in August. About five buckets of flowers were received each day and distributed
to hospitals, missions, settlement houses, etc.

Your Garden Committee arranged for a visit to the estates of Mr. J. Franklin
McFadden, of Rosemont, and Mr. W. Hinckle Smith, of Bryn Mawr, on May 12th..

Between six and seven hundred people accepted the invitation to visit these gardens.
Refreshments were furnished by the Garden Committee, and details of cost, etc., will
be given in their report. Beautiful flowers, perfect weather and excellent food made
the occasion most enjoyable to everybody.

The donations or contributions which you made last year to the Arnold
Arboretum, School of Horticulture, Bartram Gardens and the Brown Canker Fund
were, I know, greatly appreciated. I hope you will decide to continue the latter this
year, as I believe it is $100.00 exceedingly well spent. It goes to assist in maintaining
a fund for the study of Brown Canker, Mildew, Black Spot and other diseases of
Roses at Cornell University, and lovers of Roses are hopeful of great benefits
therefrom.

At the beginning of the year Mr. Rust resigned the Secretaryship after a service
of thirty-one years, and Mr. John C. Wister was elected to take his place. This
change entailed the employment of an assistant for Mr. Wister and a redistribution
of the duties in the office. The change has proven satisfactory in every way, and it
has also enabled the Society to offer a new service to its members, as shown by the
announcement which has been published in Horticulture. Mr. Rust during the past
year has served as Manager of Exhibitions, and his services have been given free to
local Societies in this part of the country as a judge and adviser.

Horticulture, which our members receive twice every month during the year,
continues to give pleasure and satisfaction to all. Commendations come from every
quarter and amateurs particularly praise its helpful advice and information.

The history of the Society is rapidly approaching completion, and it is hoped
that the book will go to press during the coming spring. Many valuable data have
been compiled and interesting events chronicled which are not known to many of our
members.

During the past year the Society has lost by death twenty-three members, among
them some of our oldest and best-known associates. I mention particularly Dr.
Robert Huey, who died March 12, 1928, and who had been one of the country's
leading amateur rosarians for the past thirty or forty years. Dr. Huey became a
member of the Society in 1896, and a member of the Executive Council and Vice-
President in 1917 and 1918. Thomas B. Meehan died April 1, 1928. He had been a
member of this Society since 1892 and was one of the leading nurserymen of Penn-
sylvania. He was the son of the Thomas Meehan whose name appears so frequently
in the early annals of this Society. Mr. Burnet Landreth died December 2, 1928.
He was the oldest living member of the Society, having been elected in 1875. He
was very active in the Society's affairs at the time of the Centennial in 1876. Resolu-
tions of sympathy were, in each of the above cases, passed by the Executive Council,
and a copy of the same sent to the respective families. Twenty-eight members
resigned during the year, most of them on account of change in residence, and twenty-
four were dropped for, failure to pay dues.

During the past year we added the name of Mrs. James Mauran Rhodes to the
list of our Honorary Members. Mrs. Rhodes organized the Flower Show Associa-
tion of the Main Line, and has done much to increase interest in horticulture in the
suburbs of Philadelphia. She is the widow of one of our former Presidents.
