BY-LAWS. 


ArTICLE I.— The name of this corporation shall 
be the MASSACHUSETTS FORESTRY ASSOCIATION. 


PRIMARY OBJECTS. 


ARTICLE II.— The purpose of the Association is to 
introduce judicious methods in dealing with forests 
and: woodlands; to arouse and educate a public inter- 
est in this subject; to promote the afforestation of 
unproductive lands; to encourage the planting and 
care of shade-trees; and to establish and maintain a 
place for reading-rooms, library and social meetings. 


MEMBERSHIP. 


ARTICLE III.— Any person may become a member 
of this Association, subject to the approval of the Ad- 
mission Committee, by the payment in advance of an 
annual due of two dollars. Any person may become 
a life member by the payment of fifty dollars. Any 
person making a gift to the Association amounting to 
one thousand dollars or more shall be honored by en- 
rolment as a Patron. |

OFFICERS. 


ArtTICLE IV.— The officers of this Association shall 
be a President, not more than ten Vice-Presidents, a 
Treasurer, a Secretary, and an Executive Committee 
not exceeding twenty-five members. All the above 
officers shall be elected at the annual meeting each 
year by ballot, and shall serve for one year and until 
their successors shall have been elected and shall 
have accepted office. 


-PRESIDENT. 


ARTICLE V.— The President shall preside at all 
meetings of the Association. In his absence, the Vice- 
Presidents in order of seniority. In the absence of 
the President and all the Vice-Presidents, a president 
pro tempore shall be elected by the meeting. 


TREASURER. 


ARTICLE VI.— The Treasurer shall collect all dues, 
shall attend to all disbursements, and shall have 
charge of the funds of the Association, under the di- 
rection of the Executive Committee. He shall keep 
the accounts of the Association, and shall report, if 
requested, at any meeting of the Executive Committee, 
the balance of moneys on hand and the outstanding 
obligations of the Association, as far as practicable, 
and shall at the annual meeting report in full the re-

ceipts and disbursements of the previous year. His 
book of accounts shall at all times be open to the in- 
spection of any member of the Executive Committee. 
His accounts shall be audited annually or oftener by 
an Auditing Committee appointed by the Executive 
Committee. He shall be allowed a reasonable sum 
for clerical assistance. 
SECRETARY. 

ARTICLE VII.— The Secretary, who shall be also the 
Clerk of the Corporation, shall give notice of all meet- 
ings of the Association and Executive Committee, and 
shall keep a record of such meetings, and of all mat- 
ters of which a record shall be deemed advisable by 
the Association. or Executive Committee. He shall 
conduct the correspondence of the Association, and 
have charge of all its documents. The records of the 
Secretary shall at all reasonable times be open to the 
inspection of any member of the Association. He 
shall notify new members of their election, keep a roll 
of the members of the Association, and advise the 
Treasurer of the election of members. He shall also 
_ be the keeper of the seal of the Association. He shall 
be allowed a reasonable sum for clerical assistance. 


EXECUTIVE COMMITTEE. 


ARTICLE VIII.— The Executive Committee shall 
have the entire control and management of the affairs

of the Association, subject to such instructions as may 
from time to time be prescribed by the. Association. 
It shall fill vacancies in the board of officers until the 
next annual meeting. This committee shall elect its 
own Chairman. ‘The Executive Committee shall meet 
during the second week of each month except August 
and September. Special meetings may be called by 
the Chairman or by the Secretary at the request of 
two other members of the committee upon reasonable 
notice of the time and place thereof being given to all 
the members. Five members of this committee shall 
constitute a quorum. 


STANDING COMMITTEES. 


ARTICLE IX.— There shall be the following Stand- 
ing Committees of the Executive Committee, which 
shall also be deemed to be Committees of the Associa- 
tion : — 

1st. A Forest Committee of at least three members. 

2d. A Tree Committee of at least three members 

3d.. An Admission Committee of at least three 
members. 

The Standing Committees shall be elected and all 
vacancies therein filled by the Executive Committee. 


FOREST COMMITTEE. 


ARTICLE X.—(a@) The Forest Committee shall de- 
vise plans for arousing and educating a public interest

in forests and for protecting and improving the wood- - 
lands in the State, for securing and maintaining 
the proper proportion of wooded area throughout the 
State, for disseminating information concerning the 
growth, protection, and utilization of forests, and for 
showing the evils which result from forest destruc- 
tion; and shall also, subject to the approval of the 
Executive Committee, cause such plans to be carried 
out so far as possible. 


TREE COMMITTEE. 


(4) The Tree Committee shall devise plans for 
arousing and educating a public interest in ornamental 
and shade-trees; for showing the advantages of a 
proper use of-such trees, especially in the public 
streets, and for disseminating information concerning 
the culture and care of such trees; and shall also, 
subject to the approval of the Executive Committee, 
cause such plans to be carried out so far as possible. 


ADMISSION COMMITTEE. 


(c) The Admission Committee shall consider any 
application made by any person to be admitted a 
member of the Association, and vote thereon by ballot. 


ANNUAL MEETING. 


ARTICLE XI.— The annual meeting of the Associa- 
tion shall be held each year on the first Saturday of

December at the rooms of the Association in the city 
of Boston, or at such other time and place as may be 
determined by the Association or the Executive Com- 
mittee. 

SPECIAL MEETINGS. 

ARTICLE XII.—(a@) Special meetings may be held 
at such times and places as the Executive Committee 
shall determine. 

(6) A special meeting shall be called by the Secre- 
tary upon the presentation to that officer of a petition 
in writing for such special meeting signed by at least 
ten members of the Association in good standing. 


NOTICES. 


ARTICLE XIII.— Ten days previous notice of all 
meetings of this Association shall be sent to all mem- 
bers. The notice of each meeting shall state the busi- 
ness to be acted upon at such meeting. 


QUORUM. 


ARTICLE XIV.— Fifteen members shall constitute a 

quorum. 
AMENDMENTS. 

ARTICLE XV.— These By-laws may be amended by 
a three-quarters vote of the members present at any 
annual meeting or at some special meeting duly called 
for this particular purpose. The notice of such meet- 
ing shall contain a copy of any proposed amendment.
